This End-User License Agreement ("EULA" or "Agreement") is a binding legal agreement between you, the individual end user ("you", "your", or "End User"), and Commun-ET, LLC, a Delaware limited liability company ("Commun-ET", "we", "us", or "our"), governing your access to and use of the PermitPilot™ platform, the Commun-ET concierge tools, related mobile or desktop applications, APIs, plug-ins, command-line tools, sample code, and any accompanying documentation (collectively, the "Software").
The Software is licensed to your organization (the "Customer") under a separate written Master Services Agreement, order form, or subscription agreement (the "Customer Agreement"). This EULA governs your individual use of the Software as an authorized user under that Customer Agreement. If there is a conflict between this EULA and the Customer Agreement, the Customer Agreement controls as between Commun-ET and the Customer.
BY CLICKING "I AGREE", CREATING AN ACCOUNT, SIGNING IN, OR OTHERWISE ACCESSING OR USING THE SOFTWARE, YOU ACKNOWLEDGE THAT YOU HAVE READ AND AGREE TO BE BOUND BY THIS EULA. IF YOU DO NOT AGREE, DO NOT ACCESS OR USE THE SOFTWARE.
1. License grant
Subject to your continuous compliance with this EULA and the Customer Agreement, Commun-ET grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Software solely (a) during the term of your authorization by the Customer, (b) for the Customer's internal business purposes, and (c) in accordance with the documentation Commun-ET makes available.
2. Account credentials and security
- You must provide accurate registration information and keep it current.
- You are responsible for safeguarding your credentials and for all activity under your account.
- You must enable multi-factor authentication where Commun-ET requires it.
- Notify security@commun-et.com immediately of any suspected unauthorized access or security incident.
- You may not share your account, transfer it, or allow another person to use it.
3. Acceptable use
You agree not to, and not to permit any third party to:
- Copy, modify, translate, adapt, or create derivative works of the Software, except as expressly permitted;
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software, except where this restriction is prohibited by applicable law;
- Rent, lease, lend, sell, sublicense, distribute, or otherwise transfer the Software or any portion of it;
- Remove or obscure proprietary notices, marks, or labels;
- Use the Software to develop a competing product or to benchmark or train a competing model;
- Probe, scan, or test the vulnerability of the Software or breach any security or authentication measures, except under a written authorization from Commun-ET;
- Interfere with or disrupt the Software, servers, or networks, including via denial-of-service, scraping, or excessive automated requests;
- Upload viruses, malware, or any code or content that is unlawful, infringing, defamatory, harassing, or otherwise harmful;
- Use the Software to violate any applicable law or regulation, including export controls, sanctions, anti-bribery, privacy, or data-protection laws;
- Submit personal data of others without a lawful basis, or upload protected health information, payment card data, or other sensitive data not contemplated by the Customer Agreement.
4. Customer Data and your content
As between you and the Customer, the Customer owns and is responsible for the data you and other authorized users submit to the Software ("Customer Data"). You represent that you have the right to submit any Customer Data you upload, and that doing so does not violate any law or third-party right. Commun-ET processes Customer Data on the Customer's instructions under the Customer Agreement and the applicable Data Processing Addendum.
5. AI-assisted features
The Software includes features that use artificial intelligence and large language models to draft text (e.g., RFI responses), classify items, and recommend actions ("AI Output"). AI Output may be inaccurate, incomplete, or misleading. You are responsible for reviewing AI Output for accuracy and suitability before relying on it, sending it externally, or taking action based on it. Commun-ET disclaims liability for decisions made solely on the basis of unreviewed AI Output. You will not use AI Output to provide regulated professional advice (legal, engineering, medical, financial) to others.
6. Feedback
If you provide suggestions, ideas, or feedback about the Software ("Feedback"), you grant Commun-ET a perpetual, irrevocable, worldwide, royalty-free license to use and exploit the Feedback for any purpose, without obligation or compensation to you.
7. Intellectual property
The Software is licensed, not sold. Commun-ET and its licensors retain all right, title, and interest in and to the Software, including all intellectual property rights. The names "Commun-ET" and "PermitPilot," and associated logos, are trademarks of Commun-ET, LLC. No rights are granted to you other than those expressly stated in this EULA.
8. Third-party components
The Software may include or interoperate with third-party software, services, APIs, and open-source components ("Third-Party Components"), each subject to its own license or terms. Your use of Third-Party Components is governed by those terms. Commun-ET is not responsible for Third-Party Components.
9. Updates and changes
Commun-ET may update, modify, suspend, or discontinue features of the Software at any time. Updates may be installed automatically. Some changes may require you to accept revised terms; if you do not accept, your authorization to use the affected features may end.
10. Privacy
Our handling of personal information is described in the Privacy Policy. By using the Software you acknowledge that authentication events, audit logs, error reports, and usage telemetry may be processed for security, service operation, and product improvement, in accordance with the Privacy Policy and the Customer Agreement.
11. Suspension and termination
Commun-ET may suspend or terminate your access to the Software immediately if (a) the Customer Agreement ends or your authorization under it is revoked, (b) you breach this EULA, (c) Commun-ET reasonably believes your use poses a security, legal, or reputational risk, or (d) required by law. Upon termination, the license in Section 1 ends and you must cease all use of the Software. Sections 3, 6, 7, 11, 12, 13, 14, 15, 16, and 17 survive termination.
12. Disclaimer of warranties
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, COMMUN-ET AND ITS LICENSORS DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. COMMUN-ET DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT AI OUTPUT WILL BE ACCURATE OR RELIABLE.
13. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL COMMUN-ET OR ITS LICENSORS BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO THIS EULA OR THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. COMMUN-ET'S TOTAL CUMULATIVE LIABILITY TO YOU PERSONALLY UNDER OR RELATED TO THIS EULA WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100). MONETARY OBLIGATIONS BETWEEN COMMUN-ET AND THE CUSTOMER ARE GOVERNED EXCLUSIVELY BY THE CUSTOMER AGREEMENT.
14. Indemnification
You will defend, indemnify, and hold harmless Commun-ET, its affiliates, and their officers, directors, employees, and agents from and against any third-party claims, losses, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from or related to (a) your breach of this EULA, (b) your misuse of the Software, (c) Customer Data or other content you submit, or (d) your violation of any law or third-party right.
15. Export controls and sanctions
The Software is subject to U.S. export-control and sanctions laws. You represent that you are not located in, and will not access the Software from, any country or region subject to comprehensive U.S. sanctions, and that you are not on any U.S. government restricted-party list. You will not export, re-export, or transfer the Software in violation of applicable law.
16. U.S. Government end users
The Software is "commercial computer software" and "commercial computer software documentation" as those terms are used in 48 C.F.R. § 12.212. If you are a U.S. Government end user, you acquire the Software with only those rights set forth in this EULA.
17. Governing law and disputes
This EULA is governed by the laws of the State of New York, excluding its conflict-of-law rules and the U.N. Convention on Contracts for the International Sale of Goods. The exclusive venue for any dispute that is not subject to arbitration under the Customer Agreement will be the state or federal courts located in New York County, New York, and you consent to personal jurisdiction there. To the extent permitted by law, you waive any right to a jury trial.
18. General
- Entire agreement: this EULA, together with the Customer Agreement, the Privacy Policy, the Terms of Service, and any product-specific terms, is the entire agreement between you and Commun-ET regarding the Software.
- No assignment: you may not assign or transfer this EULA. Commun-ET may assign it without restriction.
- Severability: if any provision is held unenforceable, the remaining provisions remain in effect.
- No waiver: failure to enforce any provision is not a waiver of future enforcement.
- Independent contractors: the parties are independent contractors; nothing creates a partnership, joint venture, or agency relationship.
- Updates to this EULA: Commun-ET may update this EULA by posting a revised version with a new "Last updated" date. Your continued use of the Software after the effective date constitutes acceptance.
